Areas of Practice
Commercial lender representation
Harbin & Miller, LLC’s practice is primarily focused upon handling commercial lending transactions secured by real property. In addition to our extensive experience closing conventional loans, our commercial lending expertise includes representing SBA lenders in closing 7(a) and 504 SBA government guaranteed loans as well as USDA rural development lenders and closing HUD insured multi-family loans. We close in excess of $150 million dollars annually, not only in Georgia, but nationwide, representing local community, regional and national financial institutions.
We have the overall commercial real estate experience to render the legal assistance necessary to achieve our clients’ objectives. Though we are a small law firm, we have successfully closed thousands of loans providing our clients with large firm service on a small firm budget.
Business acquisitions
Often, the attorneys of Harbin & Miller, LLC represent commercial lenders extending financing for business acquisitions or stock purchase transactions. In addition, when not representing the lender financing the transaction, Harbin & Miller, LLC can facilitate asset purchase transactions, stock purchases and membership/partner buyouts for buyers and/or sellers. We can review/prepare the following:
- Draft and/or review your asset or stock/membership purchase and sale agreement
- Prepare non-compete agreements, bills of sale and/or other required ancillary documentation
- Search sellers to determine if liens exist of record
- Prepare closing statements and handle the escrow/disbursement of sale funds
Commercial real estate
In addition to our commercial lending practice at Harbin & Miller, LLC, our attorneys represent owners, landlords, tenants, and local purchasers and sellers in all aspects of commercial real estate.
Harbin & Miller, LLC also serves as a title insurance agent for First American Title Insurance Company. We offer local title services for out of state law firms seeking assistance with commercial transactions involving real property in Georgia.
We understand that each transaction is unique and our clients appreciate our efficiency in providing practical solutions and keeping the transaction on track.
business entity creation
The proper business entity will depend on what you as the client desire, how many people are involved, what type of business your entity will operate as well as liability and tax consequences among other deciding factors.
We can help you choose the best business entity for you, whether it will be a limited liability company, S Corporation, C Corporation or simple partnership. And, we will ensure that all necessary incorporating/organizing documents are filed properly with the Georgia Secretary of State. By adhering to the legal formalities of forming your business entity, we work to protect business owners from personal liability for business obligations.
In addition to keeping in mind a newly created organization’s goals, we take care to set the framework by which to settle any shareholder/partner/member disputes via carefully drafted partnership agreements, bylaws, or operating agreements.
